Welcome to “MAHI Seafood Canada Inc.”! These Terms of Service (“Terms”) govern your access to and use of our website, mahiseafood.com (the “Site”), and our online food retail services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1.Account Registration and Use

1.1. To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

1.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

1.3. You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are of legal age to form a binding contract with us.

2.Orders and Payments

2.1. By placing an order through our Services, you are making an offer to purchase the products you have selected. We may, at our discretion, accept or reject your offer.

2.2. All prices are listed in CAD and are subject to change without notice. Prices do not include applicable taxes and delivery fees, which will be added to your total order amount.

2.3. We accept Credit Cards, and Debit Cards. You agree to provide valid payment information and authorize us to charge your selected payment method for the total amount of your order, including taxes and delivery fees.

2.4. Order confirmation does not guarantee availability. In the event that a product is unavailable after you have placed your order, we will notify you and provide options for substitution or a refund.

2.5. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product descriptions, or suspicion of fraudulent activity.

3.Delivery and Pickup

3.1. We offer Delivery Options to specific and limited cities. Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by factors beyond our control, such as weather conditions or traffic.

3.2. You are responsible for providing accurate delivery information. We are not responsible for orders delivered to incorrect addresses provided by you.

3.3. For perishable items, you are responsible for ensuring that someone is available to receive the delivery at the specified time. We are not responsible for spoilage or damage to perishable items left unattended.

3.4. For pickup orders, you are responsible for picking up your order within the specified timeframe. Orders not picked up within the timeframe may be discarded, and no refund will be issued

4.Food Safety and Allergies

4.1. We take precautions to ensure the quality and safety of our products. However, we cannot guarantee that our products are free from allergens.

4.2. It is your responsibility to inform us of any allergies or dietary restrictions prior to placing your order. We will make reasonable efforts to accommodate your needs, but we cannot guarantee that cross-contamination will not occur.

4.3. If you have severe allergies, we recommend that you refrain from using our Services.

5.Intellectual Property

5.1. The Site and its content, including but not limited to text, graphics, images, logos, and software, are the property of “MAHI Seafood Canada Inc.” or its licensors and are protected by copyright, trademark, and other intellectual property laws. 

5.2. You may not reproduce, distribute, modify, or create derivative works of any content from our Site without our express written permission.

6.User Content

6.1. You may be able to submit reviews, comments, or other content (“User Content”) to our Site. You retain ownership of your User Content.

6.2. By submitting User Content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. 

6.3. You are solely responsible for your User Content and agree that it will not violate the rights of any third party or be unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.

7.1. Our Services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the operation of our Services or the content, information, or products provided through our Services. 

7.2. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.1. In no event shall “MAHI Seafood Canada Inc.” be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Services, even if we have been advised of the possibility of such damages.

8.2. Our total liability to you for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount you have paid to us for the products or services giving rise to the claim.

9. Indemnification

9.1. You agree to indemnify, defend, and hold harmless “MAHI Seafood Canada Inc.” and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of our Services or your breach of these Terms.

10. Governing Law and Dispute Resolution

10.1. These Terms shall be governed by and construed in accordance with the laws of Canada.

10.2. Any dispute arising out of or relating to these Terms or our Services shall be resolved through Dispute Resolution Method, e.g., binding arbitration, court litigation in Ontario, Canada

11.1. We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our Site. Your continued use of our Services after the posting of changes constitutes your acceptance of such changes.
